1. AGREEMENT TO TERMS
These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and BRAINBRIDGE LLC ("Company," "we," "us," or "our"), regarding your access to and use of the Invoice Maker: Easy Automation mobile application (the "App"). By accessing or using the App, you agree that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE APP AND YOU MUST DISCONTINUE USE IMMEDIATELY.
2. AGE REQUIREMENT
The App is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the App. By using the App, you represent and warrant that you are of legal age to form a binding contract with the Company.
3. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the App is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the App (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. You are granted a limited license to access and use the App and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use or internal business purposes.
4. DATA STORAGE AND BACKUPS (LOCAL STORAGE)
You acknowledge that the App currently operates on a "local storage" basis. This means that all data you enter into the App (including client information, invoice history, and settings) is stored exclusively on your specific mobile device. We do not host, sync, or backup your specific User Data on our servers at this time.
Risk of Loss: You are solely responsible for backing up your device. If you lose your device, damage it, or uninstall the App, your data may be permanently lost. BRAINBRIDGE LLC is not liable for any loss of data resulting from device failure, theft, or app deletion.
Future Updates: We reserve the right to introduce cloud synchronization features in future updates, which may be subject to additional terms.
5. SUBSCRIPTIONS AND PAYMENTS
The App offers a free version with limited functionality and a Premium version available via auto-renewing subscriptions ("Premium Subscription").
Payment Method: All payments are processed through the Apple App Store ("iTunes Account"). You agree to abide by Apple's rigorous terms regarding In-App Purchases.
Subscription Plans: We offer the following subscription tiers (prices subject to change/localization):
Weekly Access: $3.99 per week.
Monthly Access: $13.99 per month.
Annual Access: $119.99 per year.
Free Trial: We may offer a free trial (ranging from 3 to 7 days) for new users. If you do not cancel at least 24 hours before the trial ends, you will automatically be charged for the selected subscription plan.
Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you turn off auto-renew at least 24 hours before the current period ends.
Cancellation: You can manage or cancel your subscription in your Apple ID Account Settings at any time. Uninstalling the app does not cancel your subscription.
Refunds: As payments are processed by Apple, we cannot directly refund you. Refund requests must be submitted directly to Apple Support.
6. PROHIBITED ACTIVITIES
You may not access or use the App for any purpose other than that for which we make the App available. Specifically, you agree not to:
Use the App to generate fraudulent invoices or facilitate illegal transactions.
Systematically retrieve data or other content from the App to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Reverse engineer, decipher, decompile, dissemble, or attempt to derive the source code of the App.
7. DISCLAIMER: NOT PROFESSIONAL ADVICE
The App is a software tool for generating documents. It is not a substitute for professional accounting, tax, or legal advice. We do not guarantee that the invoices generated comply with the specific tax laws of your jurisdiction (e.g., specific VAT/GST requirements). You are solely responsible for verifying the accuracy, legality, and compliance of any documents created using the App before sending them to third parties.
8. LIMITATION OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. GOVERNING LAW
These Terms shall be governed by and defined following the laws of Ukraine. You and BRAINBRIDGE LLC irrevocably consent that the courts located in Lviv, Ukraine shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
